ARTICLES OF INCORPORATION OF THE NON-PROFIT Jason Naro Legacy Foundation

ARTICLE I - NAME The name of this corporation is the Jason Naro Legacy Foundation LLC hereafter "Foundation". The principal office or headquarters for the transaction of business shall be located at 8227 313th St E, Eatonville, located within the County of Pierce and State of Washington. The Foundation shall have and maintain non-profit corporation status in the State of Washington as a registered office and agent. This corporation is named in memory of Jason Allen Naro, born December 1, 2006, deceased October 23, 2023.

ARTICLE II - DURATION The period of duration is perpetual.

ARTICLE III- PURPOSE The purpose for which this Foundation is organized is to engage in any such lawful, non-profit act and/or activity under the Non-Profit Corporation Act of Washington and applicable Federal Tax Code 501(c)(3) (herein, the "Code") related to managing grants and scholarships for higher education, apprenticeships, trades, internships, fellowships, and study on behalf of students associated with but not limited to Eatonville High School in Eatonville, Washington. The primary activities for managing scholarships encompasses raising funds for scholarship recipients, evaluating scholarship applications, selecting recipients, and disbursing funds to recipients' organizations in the name of the Jason Naro Legacy Foundation and on behalf of the recipients. The secondary activities of the Foundation are to manage any business related to sustaining the Foundation, including any legal, accounting, clerical, and administrative tasks that support its purpose.

ARTICLE IV - REGISTERED OFFICE/AGENT The street address of the initial registered office is 8227 313th St E Eatonville, WA, 98328. The name of the registered agent at said address is Rebecca DePersio.

ARTICLE V- INDEMNIFICATION The Foundation does hereby indemnify any and all Directors, Officers, Trustees, Employees, Incorporators or other members of the Foundation from any and all liability with regards to the Foundation and the business of the Foundation, unless the person fraudulently and intentionally violated the law and/or maliciously conducted acts to damage and/or defraud the Foundation, or as otherwise provided under applicable State Corporation Statutes. All other matters regarding Foundation's rules of corporate governance are contained within the Foundation's Bylaws.

ARTICLE VI - DEDICATION OF ASSETS The Foundation's assets shall be permanently and irrevocably dedicated to and for charitable, non-profit purposes only, as described in Article III above. No part of the Foundation's assets shall be inured to any Foundation member, defined as being on the Board, as a Trustee, serving on a committee, or otherwise named as an Officer, manager, volunteer, employee, consultant, member, or supporter of the Foundation, past or present. Upon liquidation or dissolution, all Foundation assets shall be distributed to, or paid over to, other non-profit organizations to be used exclusively for exempt purposes, such as charitable, religious, educational, and/or scientific purposes as directed by the Non-Profit Corporation Act of Washington and the Code.

ARTICLE V11-flOARD OFDIRECTORS The Foundation shall be managed by a Board of Directors, with offices outlined in the Foundation Bylaws. The number of directors and definitions of each office may be determined by the Board, subject to provisions outlined in the Foundation Bylaws.
